The Reporting Person, David D. Mandarich, hereby amends his Schedule 13D relating to Common Stock, par value $0.01, of M.D.C. Holdings, Inc.

(c) The Reporting Persons present principal employment is as President, Chief Operating Officer and Director of M.D.C. Holdings, Inc., 3600 South Yosemite Street, Suite 900, Denver, CO 80237.

(a)-(b) As of the close of business on January 28, 2005, the Reporting Person, by virtue of the language of Rule 13d-3, may be deemed to own beneficially and to hold the sole power to vote and dispose of, in the aggregate the number and percentage of the Issuers Common Stock set forth below opposite his name (based upon the number of shares of the Issuers Common Stock that were outstanding as of November 3, 2004 as reported in the Issuers Form 8-K filed on December 15, 2004 and as adjusted to reflect the Issuers subsequent stock split in the form of a 30% stock dividend).

This option vests as to 20% of the shares covered thereby on November 22, 2007, and cumulatively as to an additional 20% on each of November 22, 2008, 2009, 2010 and 2011. These options were granted at 105% of the November 22, 2004 market close price.
(2) Reflects the grant of an option covering 60,000 shares under the Companys 2001 Equity Incentive Plan (78,000 shares after Issuers January 10, 2005 stock split in the form of a 30% stock dividend).
