Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     (b)     On September 11, 2007, Michael F. Curran elected to retire as a director and Chairman of the Board of Directors of Willbros Group, Inc. (the “Registrant”), effective immediately. On September 11, 2007, the Board of Directors of the Registrant, upon the recommendation of the Nominating/Corporate Governance Committee of the Board of Directors, elected John T. McNabb, II, an independent director of the Registrant, as non-executive Chairman of the Board of Directors.
