Werner, currently a Vice President of Smith International, Inc. (the "Company"), entered into an Amendment to his Employment Agreement dated May 1, 1991 with the Company (the "Amendment"). The Amendment provides for the continuation of the existing employment agreement between Mr. Werner and the Company until January 1, 2007, at which time a new employment agreement between the parties will be in force and effect. On January 5, 2006, the Company also signed an Employment Agreement (the "Agreement") with Mr. Werner for a period of one year, commencing January 1, 2007. The Agreement provides for an annual base salary of $150,000, subject to adjustment, eligibility to participate in all Company benefit plans and a perquisite payment of $1,558 per month. The Agreement may be terminated by either party with 30 days written notice.
