Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

In connection with the closing of the reverse acquisition transaction reported in May 2006, the registrant changed its fiscal year end to that of the operating subsidiary. Accordingly, the fiscal year end of the registrant is September 30. The registrant will be filing an annual report on Form 10-KSB for the period ended September 30, 2006.
