Holmgren, Sr., as amended by Amendment No. 1 thereto ("Amendment No. 1") dated October 5, 2004. This Amendment reflects (i) material changes to the Schedule 13D, as amended, and (ii) that Mr. Holmgren ceased to be the beneficial owner of more than 5% of the Company's issued and outstanding shares of Common Stock as the result of his disposition of an additional 81,000 shares of the Company's Common Stock as described below. All capitalized terms used but not defined herein shall have the respective meanings given to such terms in the Schedule 13D, as amended. Unless otherwise set forth below, all items set forth in the Schedule 13D, as amended, remain unchanged. Item 3. Source and Amount of Funds or Other Consideration. Not applicable to this Amendment. Item 4. Purpose of Transaction. Since the date of Amendment No. 1, Mr. Holmgren sold a total of 81,000 shares of the Company's Common Stock through open market sales. Mr. Holmgren intends to monitor his investment in the Company's Common Stock on an on-going basis and reserves the right to purchase additional shares or dispose of additional shares from time to time as conditions appear advantageous to do so. Any strategies that Mr. Holmgren may pursue will depend on a number of factors, including without limitation, (i) current and anticipated future trading prices for the Common Stock, (ii) the financial condition and results of operations of the Company, and (iii) general economic, market and industry conditions. Except as described above, Mr. Holmgren does not have any current plans or proposals that relate to or would result in any of the transactions described in paragraphs (a) through (j) of this Item 4. (a) Aggregate number of shares and percentage of the Company's Common Stock beneficially owned by Mr. Holmgren: 1,109,000 shares of the Company's Common Stock, representing 4.98% of the Company's issued and outstanding shares of Common Stock. (b) The number of shares of the Company's Common Stock with respect to which Mr. Holmgren has: Sole Voting Power: 1,109,000 shares; Shared Voting Power: 0; Sole Dispositive Power: 1,109,000; and Shared Dispositive Power: 0. (c) Since the date of Amendment No. 1, Mr. Holmgren effected the following dispositions of the Company's Common Stock in open market transactions: (1) 3,000 shares at $1.20 per share on October 7, 2004; (2) 2,000 shares at $1.16 per share on October 8, 2004; (3) 8,000 shares at $1.10 per share on October 8, 2004; (4) 2,000 shares at $1.18 per share on October 12, 2004; (5) 15,000 shares at $1.21 per share on October 12, 2004; (6) 2,000 shares at $1.18 per share on October 13, 2004; (7) 5,000 shares at $1.17 per share on October 14, 2004; (8) 5,000 shares at $1.18 per share on October 14, 2004; (9) 10,000 shares at $1.18 per share on October 15, 2004; (10) 2,000 shares at $1.16 per share on October 18, 2004; (11) 10,000 shares at $1.15 per share on October 18, 2004; (12) 15,000 shares at $1.17 per share on October 18, 2004; and (13) 2,000 shares at $1.16 per share on October 19, 2004.
