(1)	The purpose of this amendment is to disclose a change in the ownership of MatlinPatterson FA Acquisition LLC, the direct owner of 43,093,261 shares of Common Stock of the Issuer. As of June 4, 2008, MatlinPatterson Global Opportunities Partners II L.P. and MatlinPatterson Global Opportunities Partners (Cayman) II L.P. hold 41.9031 percent of the membership interests in MatlinPatterson FA Acquisition LLC and MPII Special Cayman Ltd. holds the remaining 58.0969 percent of the membership interests in MatlinPatterson FA Acquisition LLC.
