Item 8.01.   Other Events.

 On October 25, 2004, Modine Manufacturing Company (the "Company" or "Modine") completed the acquisition of the 50% interest of WiniaMando's ACC Division in the Anhui Jianghuai Climate Control Co., Ltd. joint venture located in Hefei, China. This acquisition completes the ACC acquisition activities summarized in the Company's 8-K filings dated August 3 and August 18, 2004. A copy of the Company's news release dated October 25, 2004 announcing the completion is attached hereto as Exhibit 99.
