ITEM 8.01 Other Events
1st Source Corporation (the “Company”) previously reported on steps taken in response to a notification letter from the Nasdaq stock market indicating that the Company was not in compliance with the Audit Committee composition requirement set forth in the Listing Rules. On May 16, 2012, the Company received written confirmation from Nasdaq that the Company has regained compliance with the requirement and that the matter is closed.
