DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
Effective as of March 16, 2009, Dean Nelson resigned as a member of the Board of Directors of Dollar General Corporation (the “Company”). The resignation of Mr. Nelson did not involve any disagreement with the Company.

REGULATION FD DISCLOSURE.
On March 20, 2009, Dollar General Corporation (the “Company”) announced plans to report its financial results for the fourth quarter and fiscal year ended January 30, 2009 on Tuesday, March 24, 2009. The Company plans to host a conference call on Tuesday, March 24, 2009, at 9:00 a.m. CDT/10:00 a.m. EDT to discuss the results of the quarter and the fiscal year. The news release is attached as Exhibit 99 hereto.
