Item 2.02.  Results of Operations and Financial Condition.
                     
On November 14, 2011, BIO-key International, Inc. (the “Company”) issued a press release announcing its financial results for its third quarter ended September 30, 2011 which is included as an exhibit to a Current Report on Form 8-K. A copy of the press release issued by the Company on November 14, 2011 is attached as Exhibit 99.
