Item 8.01 Other Events.

Today, December 14, 2011, ConAgra Foods, Inc. (the "Company") announced in a press release that its Board of Directors has approved a $750 million increase in its share repurchase authorization. Under the share repurchase authorization, the Company may repurchase its shares periodically over several years, depending on market conditions and other factors, and may do so in open market purchases or privately negotiated transactions, including pursuant to accelerated share repurchases or Rule 10b5-1 plans. The authorization has no time limit, and may be suspended or discontinued at any time.
