Remarks:
This is a joint filing with Yorktown Avenue Capital, LLC (Yorktown) as the designated filer.  Also, included in this filing are Boston Avenue Capital, LLC (Boston); Value Fund Advisors, LLC (VFA), the manager of Yorktown, Boston and Charles Gillman, the manager and member of VFA.  All parties reside at the same address.  In addition to the shares owned by Boston as noted on this Form 4, the following entities own the following number of shares:

Yorktown - 322,700 shares held directly.
VFA - 713,295 shares held indirectly.  VFA disclaims beneficial ownership of these shares.
Gillman - 713,295 shares held indirectly.  Gillman disclaims beneficial ownership of these shares.
