Item 5.07 Submission of Matters to a Vote of Security Holders.
On December 8, 2017, Palo Alto Networks, Inc. (the Company) held its 2017 Annual Meeting of Stockholders (the Annual Meeting). At the Annual Meeting, proxies representing 75,928,277 shares of the Companys common stock, or approximately 82.55% of the total shares entitled to vote, were present in person or by proxy. The matters before the Annual Meeting were described in more detail in the Companys definitive proxy statement (the Proxy Statement) filed with the United States Securities and Exchange Commission on October 23, 2017.
For purposes of clarity and as described in the Proxy Statement, abstentions had the same effect as a vote against for all proposals except for Proposal One Election of Directors.
Proposal One Election of Directors. The following nominees were elected as Class III directors to serve until the 2020 Annual Meeting of Stockholders or until their respective successors are duly elected and qualified.
