Item 2.02 Results of Operations and Financial Condition.

On March 27, 2014, Dicerna Pharmaceuticals, Inc., a Delaware corporation (the “Company”), issued a press release announcing its financial results for the quarter and year ended December 31, 2013. A copy of the press release is furnished herewith as Exhibit 99.1.

On March 24, 2014, the Company announced that it would hold a conference call and live audio webcast at 4:30 p.m., eastern time, March 27, 2014, to discuss its financial results and provide a general business update.
