Item 8.01    Other Events.

On October 23, 2013, Visa Inc. (the “Company”) issued a press release announcing that on October 22, 2013, its board of directors approved the Company’s 2014 Annual Meeting of Stockholders (the “Annual Meeting”) to be held on January 29, 2014. The Company’s class A common stockholders at the close of business on December 3, 2013, the record date, will be entitled to vote at the Annual Meeting.

In addition, the Company announced that on October 23, 2013, its board of directors had declared a quarterly dividend in the aggregate amount of $0.40 per share of class A common stock (determined in the case of class B and class C common stock on an as-converted basis) payable on December 3, 2013, to all holders of record of the Company’s class A, class B and class C common stock as of November 15, 2013.
