Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 31, 2012, Duke Realty Corporation, an Indiana corporation (the “Company”), announced that Mr. Howard L. Feinsand, the Company’s Executive Vice President, General Counsel and Corporate Secretary, intends to retire later this year. While Mr. Feinsand’s retirement date has not yet been determined, it is expected to be prior to December 31, 2012.
