Item 8.01. | Other Events. |
On June 4, 2009, American Water Works Company, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Merrill Lynch, Pierce, Fenner & Smith Incorporated, Citigroup Global Markets Inc. and Goldman, Sachs & Co., as representatives of the several underwriters (the Underwriters), pursuant to which the Company agreed to issue and sell 14,500,000 shares (the Firm Shares) of the Companys common stock, par value $0.01 per share (the Common Stock), and RWE Aqua Holdings GmbH, a limited liability company organized under the laws of the federal republic of Germany (the Selling Stockholder), agreed to sell 11,500,000 shares of Common Stock, at a public offering price of $17.25 per share in an underwritten public offering (the Offering). The net proceeds of the Offering to the Company will be approximately $241.2 million. Pursuant to the Underwriting Agreement, the Company and its officers and directors and the Selling Stockholder agreed to a 90-day lock-up period with respect to sales of specified securities, subject to certain exceptions. The Underwriting Agreement is included as Exhibit 1.1 hereto.
