Item 2.02 Results of Operations and Financial Condition.

On October 6, 2008, OMNI Energy Services Corp. (the “Company”) announced, that despite the impact of recent hurricanes on some of its operations, primarily in its Louisiana Gulf Coast facilities, it expects to report third quarter 2008 revenue of approximately $52.0 million, exceeding second quarter 2008 revenue of $48.9 million as well as revenue of $48.1 million in the third quarter 2007 period.

A copy of the press release announcing the results is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The press release should be read in conjunction with the note regarding forward-looking statements, which is included in the text of the press release.
