(b) On April 25, 2007, Mr. Shawn Rice gave OMNI Energy Services Corp. (the “Company”) notice of his intent to resign as the Vice President of Quality, Health, Safety and Environmental and Human Resources effective May 25, 2007. As a result of his resignation, the First Amended and Restated Employment Agreement effective November 30, 2004 between the Company and Mr. Rice (the “Employment Agreement”) will terminate on May 25, 2007. The Employment Agreement was filed as an exhibit to our Current Report on Form 8-K filed with the Securities and Exchange Commission on September 29, 2006, and is incorporated herein by reference.
