Item 7.01. Regulation FD Disclosure.
On August 8, 2006, Aleris International, Inc. (the Company) issued a press release announcing that it has entered into a definitive merger agreement under which Texas Pacific Group (TPG) will acquire all of the outstanding stock of the Company for approximately $1.7 billion plus the assumption of or repayment of approximately $1.6 billion of debt. A copy of that press release is attached hereto as Exhibit 99.1.
