Item 4.01 Changes in Registrants Certifying Accountant
(a) | On September 19, 2005, Equus II Incorporated (the Company) dismissed PricewaterhouseCoopers LLP (PwC) as its independent registered public accounting firm and engaged UHY Mann Frankfort Stein & Lipp CPAs, LLP (UHY) as the Companys new independent registered public accounting firm. |
The decision to change independent registered public accounting firms was approved by the Audit Committee of the Board of Directors of the Company.
The reports of PwC on the financial statements of the Company as of and for the years ended December 31, 2004 and 2003 contained no adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principle.
During the years ended December 31, 2004 and 2003 and through September 19, 2005, there were no disagreements with PwC on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreements if not resolved to PwCs satisfaction would have caused PwC to make reference thereto in PwCs reports on the financial statements for such years
During the years ended December 31, 2004 and 2003 and through September 19, 2005, there have been no reportable events (as defined in Regulation S-K Item 304(a)(1)(v)).
The Company has requested that PwC furnish it with a letter addressed to the United States Securities and Exchange Commission stating whether or not it agrees with the above statements. A copy of such letter is furnished in response to that request and is attached hereto as Exhibit 16.1.
(b) | The Company did not consult with UHY during the years ended December 31, 2004 and 2003, and through September 19, 2005, on any matter which was the subject of any disagreement or any reportable event as defined in Regulation S-K Item 304(a)(1)(iv) and Regulation S-K Item 304(a)(1)(v), respectively, or on the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Companys financial statements. |
