Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

William A. Carlson amicably resigned as a member of the Board of Directors of Prolong International Corporation (the “Company”) effective July 7, 2005. Mr. Carlson served as a Class III director with a term expiring at the Company’s 2007 Annual Meeting of Stockholders. A replacement has not yet been appointed to fill the vacancy created by Mr. Carlson’s resignation.
