Item 8.01 Other Events.

 

On December 1, 2004, NCR Corporation (the “Company”) issued a press release announcing that the Board of Directors of the Company approved a two-for-one stock split which will be payable in the form of a 100 percent stock dividend on January 21, 2005. Stockholders of record as of December 31, 2004 will receive one additional share of NCR common stock for each share of NCR common stock owned. A copy of the press release is furnished as Exhibit 99.1 to this report and is incorporated herein by reference.
