On November 18, 2004, Sohu.com Inc. announced that Victor Koo, President and Chief Operating Officer, will resign from the company effective March 31, 2005, to pursue entrepreneurial business opportunities. A copy of the press release issued by the company regarding the foregoing is attached to this report as Exhibit 99.1 and is hereby incorporated by reference.
