During Registrant's fiscal year ended December 31, 2001, there were no disagreements between Laidlaw and Eisner on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure which, if not resolved to the satisfaction of the Registrant, would have caused them to make a reference to the subject matter of the disagreements in connection with their reports on the financial statements for such years. As required by Item 304 (a) (3) of Regulation S-B, Laidlaw has furnished Eisner with the disclosure contained in this Item 4 and requested that Eisner furnish Laidlaw with a letter addressed to the Securities and Exchange Commission stating that it agrees or disagrees with the statement made by Laidlaw in this Item 4.
