On May 5, 2014, Allan M. Pinkerton provided notice to Limoneira Company (the “Company”) of his decision to resign as director of the Company, such resignation to be effective immediately. Mr. Pinkerton’s decision to resign as a director did not involve any disagreement with the Company, the Company’s management or the Company’s board of directors. The Company is currently considering various alternatives regarding the vacancy on the Company’s board of directors created by Mr. Pinkerton’s resignation, but at this time no plans have been made to fill such vacancy.
