Effective January 11, 2011, interclick, inc. (the “Company”) appointed William H. Wise as a member of its Board of Directors.

Mr. Wise has not been involved in any transaction with the Company that would require disclosure under Item 404(a) of the Regulation S-K.

Other Events.
 
On January 11, 2011, the Company issued a press release announcing the appointment of Mr. Wise as a member of its Board of Directors. In addition, the Company also appointed David Honig to its Advisory Board.  The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
