Item 8.01.   Other Events.

On February 19, 2010, Royal Gold and International Royalty Corporation (“IRC”) announced that they obtained the final order from the Ontario Superior Court of Justice approving the previously announced Plan of Arrangement (the “Arrangement”) between Royal Gold and IRC.  Royal Gold and IRC expect to complete the Arrangement on or about February 22, 2010.  The press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
