Underwriters exercise option for more TransAlta common shares
CALGARY, Alberta (March 5, 2003) - TransAlta Corporation (TSX: TA; NYSE: TAC) announced today the underwriters for its recently announced equity offering have exercised their option to acquire an additional three million common shares at the offering price of $16.00 per share. As a result of the option being exercised, 15 million common shares will be issued for total gross proceeds of $240 million.
The offering is scheduled to close on March 21, 2003.
The underwriters have a further option to acquire up to 2.25 million additional common shares at the offering price for the purpose of covering over-allotments. If they fully exercise the option, 17.25 million shares will be issued, for total proceeds of $276 million.
The common shares have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
