Item 5.02.                                        Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective September 29, 2014, Daniel R. Marshak, Ph.D. was appointed as a Class II director to fill an existing vacancy on the Board of Directors (the “Board”) of InVivo Therapeutics Holdings Corp. (the “Company”).

 

Dr. Marshak will receive an annual cash retainer of $32,000, paid in quarterly installments. He will also be entitled to reimbursement for reasonable travel expenses in connection with attendance at meetings of the Board and Board committees. In connection with his appointment, the Board approved the grant to Dr. Marshak of an option to purchase up to 50,000 shares of the Company’s common stock, which will vest in 12 equal installments on each monthly anniversary of the date of grant until fully vested on the first anniversary of the date of grant.

 

Consistent with existing compensation arrangements for non-employee directors, Dr. Marshak will also receive an annual grant, on December 10 of each calendar year, of an option to purchase up to 50,000 shares of the Company’s common stock, and such option will vest in 12 equal installments on each monthly anniversary of the date of grant until fully vested on the first anniversary of the date of grant, provided that he remains a director of the Company on each such vesting date.

 

Dr. Marshak was not selected as a director pursuant to any arrangements or understandings with the Company or with any other person, and there are no related party transactions between Dr. Marshak and the Company that would require disclosure under Item 404(a) of Regulation S-K.
