Item 8.01                                           Other Events.

 

On May 20, 2013, Rockwell Medical, Inc. (the “Company”) issued a press release announcing the closing of its previously announced firm commitment underwritten offering of 13,196,721 shares of the Company’s common stock, including 1,721,311 shares of common stock sold pursuant to an exercise of the over-allotment option.  Net proceeds from the offering were approximately $37.7 million, after deducting underwriting discounts and commissions and the Company’s estimated offering expenses.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
