Item 1.01 Entry into a Material Definitive Agreement.
Overstock.com, Inc. (the Company) and U.S. Bank National Association (the Bank) are parties to a Financing Agreement dated as of December 22, 2009, as amended (the Financing Agreement).
On February 16, 2012 the Company and the Bank entered into a Second Amendment to Financing Agreement and Waiver dated February 15, 2012 (the Amendment). Subject to the limitations set forth in the Amendment, the Amendment permits the Company to form direct and indirect wholly-owned subsidiaries. In addition, the Amendment grants a waiver of any default under the Financing Agreement resulting from the Companys filing on January 6, 2012 of an amendment to its Form 8-K originally filed on May 5, 2011 to report that the Company would follow its own recommendation, as approved by the Companys stockholders in an advisory vote on May 4, 2011, regarding the timing of future advisory votes of the Companys stockholders regarding the Companys executive compensation. The waiver is effective as of or immediately prior to the due date of the amendment to the Form 8-K. A copy of the Amendment is filed as Exhibit 10.1 to this Report on Form 8-K.
The Bank or its affiliates have provided various commercial banking and related services to the Company from time to time, and are expected to continue to do so.
