Item 8.01                                                 Other Events

 

Precis, Inc. (the “Company”) was informed today that the State of Texas has filed a lawsuit against its subsidiary, The Capella Group, Inc. d/b/a Care Entrée.  The lawsuit alleges that Care Entrée directly and through at least one other party that resells Care Entrée’s services to the public, violated certain provisions of the Texas Deceptive Trade Practices – Consumer Protection Act.  The lawsuit seeks, among other things, injunctive relief, monetary penalties and restitution.  The Company believes that the allegations are without merit and intends to vigorously defend the lawsuit.  The lawsuit was filed in the 98th District Court of Travis County, Texas, under case number GV501264.  Findings against the Company in the lawsuit could result in a material adverse effect on our financial condition and on our operations.
