Section 1 REGISTRANTS BUSINESS AND OPERATIONS
Item 1.01 Entry into a Material Definitive Agreement
On January 25, 2005, stockholders of the Company approved the Hormel Foods Corporation 2005 Long-Term Incentive Plan (the Plan). Stockholder approval is designed to enable compensation paid under the Plan to qualify as deductible performance-based compensation under Section 162(m) of the Internal Revenue Code.
The Plan is designed to advance the long-term interests of the Company and its stockholders by attracting and retaining key employees and by stimulating such employees to contribute to the continued success and growth of the Company. Performance periods are designated by the Compensation Committee of the Board of Directors, and awards are determined based on the Companys total shareholder return compared to the total shareholder return of a designated peer group. Payments of awards under the Plan may be more or less than 100% of the amount designated to participants based on the Companys peer group ranking at the end of each designated performance period.
A copy of the Plan is attached hereto as Exhibit 10.1.
