(d) On August 23, 2017, the Board of Directors of the Registrant elected Mary T. Barra as Director, effective immediately. Ms. Barra is Chairman and Chief Executive Officer of General Motors Company. No determination has been made as to the committee on which Ms. Barra will serve.
